1. Agreement to Terms

By accessing or using SimpleBusiness365 (“Service”), operated by SimpleSoftware365 - Alexander Duggleby (“Company”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

SimpleBusiness365 is a productivity suite that integrates with Microsoft 365, providing software productivity tools for small and medium businesses.

3. Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you meet this age requirement.

4. Account Registration

4.1 Organization Accounts

  • Accounts are created at the Organization level.
  • Organizations may have multiple users, including multiple administrators.
  • Administrators are responsible for all activities that occur under an Organization’s account.
  • Account holders (i.e. users) are responsible for all activities that occur under their account and responsible for maintaining the confidentiality of their account credentials.

4.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

5. Subscription Plans and Billing

5.1 Plans

We offer various paid subscription plans. Current pricing and plan details are available on our pricing page at https://www.simplebusiness365.com/pricing.

5.2 Billing

  • All payments are processed through our merchant of record, Paddle Payments Ltd.
  • Prices displayed on our websites and in the service components are exclusive of applicable taxes, which will be added at checkout
  • Subscriptions automatically renew unless cancelled

5.3 Payment Disputes

Any disputed charges, chargebacks, or payment reversals will result in immediate termination of all services. We reserve the right to pursue all available legal remedies to recover any disputed amounts, including but not limited to collection efforts and legal proceedings.

5.4 Free Trial

We offer a 14-day free trial for new Organizations.

5.5 Refunds and Cancellations

  • We offer a 60-day money-back guarantee from the date of purchase
  • After 60 days, no refunds are available
  • Plan upgrades are available at any time with proration
  • Plan downgrades take effect at the end of your current monthly usage cycle (regardless of whether you are on a monthly or annual plan) and from the start of the next cycle. Any remaining term on annual plans will be prorated accordingly. This ensures that downgrades do not interfere with your ongoing usage or reset periods
  • Upon cancellation or after the third failed payment, your Organization will be deleted within 30 days, and all associated data will be permanently deleted within an additional 30 days (60 days total from cancellation)

6. Acceptable Use

6.1 Prohibited Uses

You agree not to use the Service:

  • For any illegal purpose or in violation of any laws in your jurisdiction or ours
  • To transmit, store data related to, or support any illegal activities (e.g. spam, phishing attempts, or malicious content)
  • To operate illegal businesses
  • To interfere with or disrupt the Service or servers/networks connected to the Service
  • To attempt to gain unauthorized access to any portion of the Service

6.2 Content Standards

You are responsible for all content created, uploaded, or transmitted through your Organization’s account.

7. Intellectual Property Rights

7.1 Your Content

  • You retain all rights to content you create within the Service
  • We do not claim ownership of your content
  • We only use your content to provide the Service to your Organization

7.2 Our Service

The Service and its original content, features, and functionality are owned by SimpleSoftware365 - Alexander Duggleby and are protected by international copyright, trademark, and other intellectual property laws.

8. Data Protection and Privacy

8.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which will be made available separately.

8.2 Data Export

You may export your Organization’s data at any time while your account is active.

8.3 Data Retention

Following account termination, we will delete your Organization within 30 days and permanently delete all associated data within an additional 30 days (60 days total from termination).

8.4 Data Location

Your data may be stored in one of three regions depending on our choice made when creating the organisation: North America, West Europe, or Asia Pacific.

9. Service Availability

9.1 Uptime

While we strive to maintain Service availability, we do not guarantee any specific uptime percentage.

9.2 Maintenance

We will attempt to provide at least 24 hours notice for planned maintenance, though this is not guaranteed.

9.3 Support

We aim to respond to support inquiries within 24 hours during business days, though no specific response time is guaranteed.

10. Disclaimers and Limitations of Liability

10.1 Service Provided “As Is”

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

10.2 Data Loss

THE COMPANY IMPLEMENTS INDUSTRY-STANDARD DATA PROTECTION MEASURES, INCLUDING REGULAR BACKUPS AND SECURITY PROTOCOLS. HOWEVER, YOU ACKNOWLEDGE THAT NO METHOD OF ELECTRONIC STORAGE IS 100% SECURE. THE COMPANY SHALL NOT BE LIABLE FOR ANY LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS TO DATA, OR ANY RESULTING LOSS OF BUSINESS, PROFITS, REVENUE, OR ANTICIPATED SAVINGS, WHETHER ARISING FROM THE COMPANY’S NEGLIGENCE OR OTHERWISE.

10.3 Limitation of Liability

IN NO EVENT SHALL SIMPLESOFTWARE365 - ALEXANDER DUGGLEBY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless SimpleSoftware365 - Alexander Duggleby and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Dispute Resolution

12.1 Arbitration

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with Austrian arbitration rules.

12.2 Class Action Waiver

You agree to bring any disputes only in your individual capacity and not as part of any class or representative action.

13. Geographical Restrictions

The Service is available worldwide except where prohibited by law, including countries subject to embargos or other legal restrictions.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the “Last Updated” date.

15. Termination

We may terminate or suspend your Organization’s access immediately, without prior notice, for any breach of these Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law provisions.

18. Entire Agreement

These Terms constitute the entire agreement between you and SimpleSoftware365 - Alexander Duggleby regarding the use of the Service.

19. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

By using SimpleBusiness365, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
